Introduction
Welcome to VoIP PBX Express.cloud, LLC ("Company," "we," "our," or "us"). By subscribing to and using our SIP Express telecommunications services ("Services"), including but not limited to VoIP services, SIP Trunking, e911, Network Access, CNAM services, DID services, Backup IP Failover, and Toll-Free services, you agree to the following Terms & Conditions. Please read these Terms carefully before using our Services.
By using our Services, you acknowledge and agree to be bound by this agreement. If you do not agree with these Terms, you should immediately discontinue the use of our Services.
Service Description
SIP Express Services
SIP Express provides customers with reliable SIP trunking and VoIP solutions. This service includes a Lifetime Limited Warranty and lifetime service on all PBX hardware purchased from VoIP PBX Express.
VoIP Services
Our VoIP service provides voice communications over the Internet and is dependent on your internet connection, which may affect performance.
SIP Trunking
SIP Trunking allows your phone system to use VoIP for making and receiving calls. The number of SIP Trunks provided depends on the customer's subscription plan.
e911 Services
Our e911 service enables emergency dialing, routing calls to the nearest public safety answering point (PSAP). Each DID is charged $3.50 per month. Customers are responsible for ensuring the registered address is accurate and up to date.
Network Access Fee (NAF)
Covers network maintenance and access at $29 per user or device per month.
CNAM Services
Provides inbound and outbound caller name display. Each CNAM service is charged at $4 per month.
Direct Inward Dialing (DID)
Assigns direct phone numbers to extensions. Each DID is charged at $1.75 per month.
- DID Porting Fee: A one-time fee of $25 per DID applies for porting existing numbers.
- DID Setup Fee: A one-time fee of $45 per DID applies for setting up new numbers.
Backup IP Failover
Provides a secondary IP connection for failover in case the primary connection fails. This service is charged at $49 per month per device.
Toll-Free Services
Toll-Free DIDs are available at 3.75 per month. Toll−Free Minute Usage is billed at 3.75 per month. Toll−Free Minute Usage is billed at 0.057 per minute.
Inbound/Outbound Minute Overage
Calls exceeding the plan's Enhanced Minute allocation are billed at $0.019 per minute.
Administrative Charge
An administrative charge of 18% of the base rate applies to all services. This charge covers administrative and operational costs associated with providing and maintaining the Services.
Pricing Structure
Base rates for SIP Express services (including 15,000 Enhanced Minutes):
- <20 Users: $149/month
- 20-30 Users: $179/month
- 30-40 Users: $229/month
- 40-50 Users: $279/month
- 50-75 Users: $349/month
- 75-100 Users: $399/month
- 100+ Users: Custom pricing available upon request
Note: The above rates are subject to an 18% administrative charge.
Lifetime Limited Warranty
Covers manufacturer defects and ensures repairs/replacements for the duration of the service agreement.
Lifetime Service
SIP Express subscribers receive lifetime service on PBX hardware, covering configuration, troubleshooting, and technical support for as long as they remain subscribed.
Security and Customer Responsibility
VoIP PBX Express.cloud, LLC will program the system with its best security practices but is not liable for security breaches, unauthorized access, hacks, or fraudulent charges. The ultimate responsibility for securing the system lies with the customer.
Optional Service
SIP Express is an optional service provided by VoIP PBX Express.cloud, LLC. Customers may choose not to subscribe to SIP Express and instead procure phone service from their local telecommunications provider. All PBX systems provided by VoIP PBX Express are fully compatible with alternative telecommunication services.
Acceptable Use Policy
- Customers agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations.
- Prohibited activities include, but are not limited to:
- Unauthorized access, hacking, or tampering with the system.
- Transmitting illegal, abusive, or harmful content.
- Using the Services for fraudulent or malicious purposes.
- Violation of this policy may result in immediate termination of services without refund.
Billing and Payment Terms
- Billing Cycle: Services are billed monthly in advance.
- Late Payments: A late fee of $45 will be added to accounts that remain unpaid for more than 60 days.
- Disputes: Billing disputes must be submitted in writing within 30 days of the invoice date. Failure to dispute within this period constitutes acceptance of the charges.
- Suspension for Non-Payment: Services may be suspended for non-payment after 90 days of overdue status.
Service Availability and Limitations
- Uptime: We strive to maintain 99.9% uptime but do not guarantee uninterrupted service.
- Limitations: Service performance may be affected by factors outside our control, including internet connectivity, power outages, or third-party service disruptions.
- Scheduled Maintenance: We may perform scheduled maintenance, which could result in temporary service interruptions. Customers will be notified in advance whenever possible.
Limitation of Liability
- VoIP PBX Express.cloud, LLC shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, data loss, or business interruption, arising from the use or inability to use the Services.
- Our total liability for any claim related to the Services shall not exceed the amount paid by the customer for the Services in the 12 months preceding the claim.
Force Majeure
- VoIP PBX Express.cloud, LLC shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, acts of terrorism, government restrictions, or widespread internet outages.
Governing Law and Jurisdiction
- These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Washington.
- Any disputes arising under these Terms shall be resolved exclusively in the courts of Washington State.
Changes to Terms
- We reserve the right to modify these Terms & Conditions at any time. Changes will be effective upon posting on our website or notifying customers via email.
- Continued use of the Services after changes constitutes acceptance of the revised Terms.
Termination
- By Customer: Customers may terminate services by providing 30 days' written notice.
- By Company: We reserve the right to terminate services for violations of these Terms, non-payment, or any activity deemed harmful to our network or other customers.
- Upon termination, all unpaid fees become immediately due.
Data Privacy and Security
- We are committed to protecting your data and comply with applicable data protection laws, including GDPR.
- Customer data will only be used to provide and improve our Services. We will not sell or share your data with third parties without your consent.
- Customers are responsible for maintaining the security of their login credentials and ensuring compliance with data protection regulations.
